China is the world’s second largest economy and it offersenormous opportunities for foreign companies. The most common foreign entity structure is called the Wholly ForeignOwned Enterprise, also known as the WFOE. Before setting up a WFOE, thereare several factors to take into account,like the business scope, the registeredcapital, the business location and so on. But for today, we are going to cover the business scope.
The business scope is a collection of business activities inwhich an entity is authorised to operate in and this will reflect in theentity’s business license. It isimperative for an entity to make sure that the activities it engages in are notrestricted or prohibited in China. Thiscan be checked in the SpecialAdministrative Measures on Access to Foreign Investment. You might also have a check at yourcompetitors’ business scope for further reference. After finalising the business scope, then youcan proceed with submission of the registration to the Chinese authorities at theCOC (Commission of Commerce) and AIC (Administration for Industry and Commerce) forreview.
So, choosing and drafting the right business scope is veryimportant because you do not want to encounter discrepancies in your operationswhich may trigger potential tax investigations. Also, having to change your business scope at a later stage might becostly and time-consuming.
